Welcome to Legacy Core! Please read these Terms of Service (“Terms”) carefully before using https: //legacycoreacademy.com (including any related websites or future platforms) online course(s), digital materials, badge program(s) and related Services (collectively, the “Services”). By accessing or using the Services you agree to these Terms. If you do not agree, do not use the Services.

0) Definitions

For purposes of these Terms:

  • “Content” refers to all course videos, text, templates, downloads, guides, worksheets, graphics, logos and other material provided by Legacy Core as part of the Services.

  • “Badge” shall mean the Legacy Core Trust Badge and any other badges or recognition marks included with or displayed as part of the Services.

  • “Third Party Services” means services that are not owned or operated by Legacy Core directly (such as Teachable, payment processors, email tools, analytics providers and other partner services).

  • “User” refers to you and/or the business entity you represent, if applicable.

1) Eligibility and Accounts

  • You must be 18 years of age or older (or the age of majority where you reside) to purchase content from us or create an account.

  • If you act on behalf of a business when using the Services you represent that you have authority to bind that business to these Terms.

  • You agree to provide accurate information on your account and keep your account information up to date.

  • You will be responsible for all activity under your account and for keeping your account credentials secure at all times.

  • You agree to immediately notify us of any suspected unauthorized use of your account.

  • We reserve the right to suspend, restrict, or terminate your access to all or part of the Services immediately if we suspect fraud, abuse, security risks, or violation of these Terms.

2) Educational Purpose; No Professional Advice

Services are offered for educational and informational purposes only. Legacy Core does not offer legal advice, compliance certifications, insurance recommendations, managed security services, penetration testing, incident response, forensic services, or other security services unless otherwise specified in a separate written agreement.

You alone are responsible for your own decisions, implementations, vendor selections, and security outcomes.

3) Purchases, Delivery, Subscriptions, and Refunds

  • Course access is delivered electronically using our websites (including Teachable), and may require internet connectivity and electronic devices.

  • Your purchase is also subject to our Refund Policy, which can be found linked below. This Policy governs eligibility for refunds.

  • Prices are subject to change at any time. Changes will not affect previously placed orders.

  • By purchasing a subscription or recurring plan (if available) you authorize us (and payment processors) to charge your payment method for recurring fees, taxes, and any additional charges while under the plan’s terms.

  • You are responsible for paying any taxes, fees, or additional charges required by your local jurisdiction or payment provider.

4) License and Use Restrictions (No Sharing / No Misuse)

We grant you a limited, non-exclusive, non-transferable, revocable license to access the Services and Content for your internal business purposes or personal educational use only.

You may not:

  • Share account login information or share access with others

  • Resell, sublicense, redistribute, publicly display or publish any Content

  • Copy, record, reproduce, download or capture any Content in violation of these Terms or applicable law

  • Remove any proprietary notices, watermarks, copyright notices or logos

  • Use Content to build a competing product/service or train/support other employees unless each individual user has their own license for the Services

  • Attempt to bypass any access controls, access accounts other than your own, probe, scan, or test the vulnerability of any systems

  • Scrape, automate queries against, disrupt, overload or otherwise interfere with the Services

  • Upload malware, viruses, or other malicious code, or attempt to hack or compromise the Services

If you violate the above Restrictions, your license will terminate immediately, you will be ineligible for a refund (if applicable), and your Legacy Core Trust Badge (if any) will be revoked. Continued violations may result in legal action against you.

5) Intellectual Property

All Content, trademarks, design, branding, and other materials (including but not limited to “Legacy Core” and “Legacy Core Trust Badge”) are owned by Legacy Core or licensed to us and may not be copied, imitated, or used without our prior permission. All intellectual property rights are reserved. Content is licensed, not sold. No ownership interests are transferred to you.

6) Trust Badge Terms (Use + Limits + Revocation)

By earning or displaying the Legacy Core Trust Badge, you agree:

  • The badge simply indicates you completed certain training requirements. It does not indicate your security practices or solutions.

  • Legacy Core does not perform security audits, penetration tests, compliance certifications, give legal attestations, or guarantee security for any customers or users.

  • You may not claim or imply that displaying the badge means your business is “secure”, “compliant”, “certified”, “penetration tested”, or “breach proof” unless Legacy Core explicitly provides that statement as part of our services for your business.

  • You agree to use the badge solely as allowed by Legacy Core (including following any badge guidelines provided).

  • Badge rights may be revoked by Legacy Core at any time for misuse, misrepresentation, fraud, ineligible training retention, or violations of these Terms.

  • If we revoke your badge rights you must stop using the badge immediately and remove it from your website, marketing materials, storefronts, screenshots, and any other platform.

7) Partner/Guest Content and Third Party Services

We may provide partners, guest speakers, tools, or references to third-party services for educational purposes. Legacy Core has no control over, is not responsible for, and makes no representations regarding third-party services, tools, the accuracy of their content, availability, pricing, security practices, or results from using third-party tools.

Any interactions with a third-party is between the user and that third-party and will be governed by the third-party’s Terms / Privacy Policy.

8) User Content, Feedback, Testimonials

By submitting feedback, testimonials, answers, comments or other content (“Content”) to Legacy Core:

  • You represent that you own the Content or have the right to submit it and that it does not violate any laws or third party rights.

  • You grant Legacy Core a non-exclusive, worldwide, perpetual, royalty-free license to use any Content you submit unless prohibited by law or you notify us in writing to remove it.

  • Do not submit confidential information you do not want to be shared.

9) Acceptable Use + Enforcement

You agree not to access or use the Services for any illegal purpose, to harass other users, introduce malware, attempt to probe, test, or access any system other than the Services, interfere with the Services, or infringe upon any intellectual property rights.

Legacy Core reserves the right to monitor, investigate and take whatever action we deem necessary (including but not limited to content removal, account restriction, and reporting to law enforcement) to enforce this provision and protect the Services, its users, and Legacy Core.

10) Disclaimer (No Warranties)

THE SERVICES ARE PROVIDED “AS IS”, “AS AVAILABLE” AND WITH ALL FAULTS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND TITLE.

Cybersecurity results may vary. YOU ARE RESPONSIBLE FOR YOUR OWN SELECTION OF VENDORS, CONFIGURATION AND IMPLEMENTATION DECISIONS, TRAINING OUTCOMES, AND ONGOING SECURITY MEASURES.

11) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, EVEN IF WE ARE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID TO US DURING THE 12 MONTH PERIOD PRIOR TO THE EVENT OR OCCURRENCE GIVING RISE TO SUCH CLAIM.

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. SOME STATES OR JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. ACCORDINGLY, SOME OF ABOVE DISCLAIMERS AND LIMITATIONS MAY NOT APPLY TO YOU.

12) Indemnification

You agree to indemnify and hold harmless Legacy Core and its owners, employees, contractors, partners and agents from any losses, liability, damages and expenses (including reasonable attorneys’ fees and costs) related to:

  • your use of the Services

  • any violation of these Terms

  • any misuse or misrepresentation of the Trust Badge

  • any violation of intellectual property rights by you

  • any content you submit or communications you send.

13) Suspension and Termination

We reserve the right to suspend, restrict, or terminate your access to all or part of the Services immediately:

  • if you breach these Terms

  • if you commit fraud or security breaches

  • if you share account credentials

  • if you use the Services to infringe intellectual property rights

  • if you misuse the badge or breach terms of badge eligibility

  • if you compromise the Services or other users

Upon termination of these Terms:

  • Any license granted to you will immediately expire

  • You must cease using our Content and marketing materials

  • If you earned badge rights, those rights will be terminated

  • The following Sections will survive: 3(g), 4(b), 5, 6, 10-11, 13, 15-19.

14) DMCA / Copyright Complaints (Optional but Strong)

If you believe that material protected by Copyright and held by Legacy Core is being infringed, you may submit a notice to Legacy Core via email contact@legacycoreacademy.com:

  • Your physical or electronic signature

You may also provide a copyright infringement notice in accordance with the DMCA by filling out the form below.

15) Dispute Resolution: Try to work it out first, but if not – No Court, Only Arbitration, and No Class Actions

Please read carefully. This Section affects your legal rights.

A) Try to resolve informally first

If you have a dispute with us, you first agree to send an email to contact@legacycoreacademy.com containing:

  • Your name, email address associated with your account, and a description of the problem

We will attempt to informally resolve the dispute through good faith efforts for a period of 30 days.

B) No court, only arbitration (optional but provides strong protections)

If an informal attempt to resolve the dispute fails, you and Legacy Core agree that all disputes arising out of or relating to these Terms and/or the Services will be resolved by binding arbitration as described in this Section 15 and can only be brought in the following circumstances:

  • Either party can bring a claim in small claims court in accordance with the rules of that forum

  • The parties can seek injunctive relief in court to prevent intellectual property infringement or further unauthorized access or misuse of Legacy Core systems

THE ARBITRATION WILL BE INDIVIDUAL, NOT CLASS-WIDE (“CLASS ACTION WAIVER”). ARBITRATION WILL BE GOVERNED BY THE FEDERAL ARBITRATION ACT.

C) Class Action Waiver

You and Legacy Core agree that any claim between the parties must be brought in an individual capacity, and not as a plaintiff or class member in any purported class, collective, representative, private attorney general, or other lawsuit proceedings to the extent that any such proceeding is waived by law.

D) You can OPT-OUT of this Section

This Section applies to you unless you opt-out (“KEEP THIS SECTION ENFORCEABLE”). You can reject this arbitration provision and Class Action Waiver by sending Legacy Core notice within 30 days of accepting these Terms that you do not agree to this Section. 30 days from the date you accepted these Terms. If you opt-out, then a court rather than arbitration will handle all disputes under Section 16.

16) Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of California, Federal laws of the United States applicable to California without giving effect to any conflict of laws rules or principles.

If arbitration does not apply (or you have opted-out of arbitration), you agree that all disputes must be heard in the state or federal courts located in California and you consent to personal jurisdiction there.

17) Export, Sanctions, and International Use

The Services should not be used by any person subject to U.S. export controls or sanctions. By using the Services, you represent and warrant that you are not located in any such jurisdiction and are not listed on any restricted party lists.

18) Changes to Services and Terms

We reserve the right, at our sole discretion, to modify or replace the Services and these Terms. If we make changes, we will post the revised Terms here with a new Effective Date. By continuing to access or use the Services you agree to be bound by the revised Terms.

19) Miscellaneous

  • Severability: If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall still apply.

  • No waiver: Failure to enforce any provision of these Terms will not be deemed a waiver of future enforcement of that provision.

  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a business sale.

  • Entire agreement: These Terms, our Privacy Policy, Refund Policy and Disclaimer constitute the entire agreement between you and Legacy Core for the Services.

  • Force Majeure: We are not responsible for delays or failures caused by circumstances beyond our reasonable control, including but not limited to vendors, outages, or loss of internet connectivity.

  • Electronic communications: You consent to receiving electronic communications from us and agree that such electronic notices satisfy any legal requirement that a notice be in writing.
